Serena Ranks on Forbes' 200 Best Small Companies List

Serena Only Enterprise Change Management Company to Make List, Strong Market Performance Earns Company Recognition Among Multiple Publications in Two-Month Period

San Mateo, CA - (October 8, 2002) - SERENA Software, Inc. (Nasdaq: SRNA), an industry-leading supplier of software that automates change to enterprise code and content, today announced that it is #120 on this year's annual Forbes' 200 Best Small Companies list. Serena is the only Enterprise Change Management (ECM) company, and among the top software companies, to earn placement on this list. This is Serena's third time in the past two months to be recognized by a business or industry publication for its strong market performance during 2002. In September, Serena placed on Software Magazine's Software 500, an annual list of the world's largest software and service suppliers, as well as Business 2.0's B2100, an annual ranking of the 100 fastest growing tech companies.

The annual Forbes' 200 Best Small Companies list is a compilation of financially strong small-cap businesses. According to Forbes, to make the list, "Companies must clear a series of stringent hurdles based on criteria such as return on equity, sales and earnings-per-share growth and relative stock price strength." Only public companies with latest-12-month sales of $5 million to $600 million, a stock price above $5 per share, five-year average return on equity of at least 5% and overall profitability -at a net margin of at least 5%, were considered for inclusion. Forbes cites that the overall technology industry slipped from 16% of the total last year to a current 12.5%, with several tech companies falling from the list. Despite a rough economy and the woes that befell on the tech industry at large during 2001-2002, Serena successfully remained a competitive force. On the Forbes' 200 Best list, Serena ranked #55 for 5-year average return on earnings, #93 in profitability and #92 in its market value.

"This recognition from Forbes, Software Magazine and Business 2.0 is a result of our solid financial foundation and sound business model," said Mark Woodward, President and Chief Executive Officer, SERENA Software, Inc. "Such recognition from both technical and business related publications, demonstrates not only our financial strength, but also our continued success in product innovation."
Serena was also awarded placement on the Forbes' 200 Best Small Companies list in 2000. This year's list can be found in the October 28th issue of Forbes, or on the Web at www.forbes.com/200best.
